Who are we?

The delaware Group Legal Team gives support to the Group holding and to all delaware entities in corporate housekeeping, legal compliance, contract risk mitigation, managing the insurance portfolio, litigation handling and dealing with IP and trademark matters.

To continue to keep pace with the ever-growing workload, we will need substantial support by a Junior Legal Counsel who takes charge together with the Group Legal Manager of the corporate housekeeping and legal administration. This will allow us, as the Group Legal team to take a more proactive approach in supporting the business. Are you that essential extra pair of hands we’re looking for?

What will you be doing?

Let’s have a closer look at your to-do list:

Your will take the lead in the corporate housekeeping at group level and safeguard the compliance in all entities

Serve as the primary point of contact for all corporate housekeeping related questions across the organization.
Develop and implement a clear and structured overview of events and subsequent actions for all legal entities, such as nomination of new partners and actualizing agreements with the partners.
Ensure completeness in content and timing of general assemblies and board meetings
Collaborate with local management teams on corporate housekeeping compliance at local entity level, including follow-up meetings to review status and progress.
Draft minutes of General Assemblies and Board Meetings.

You will be handling legal administration

Updating trade register registrations, official publications, UBO register, shareholders registers, member lists with voting rights, identity documentation

Setting up digital voting for general assemblies and board meeting and management of proxies

Management of (digital) signatures, digital filing and archiving, Coordinating the legalizing and apostilles

You will be centralizing legal compliance documentation present in the different countries on:

The application of legal contract templates and procedure
Implementation of the company policies

You will be the person to go for questions relating to global insurance policies (contact with broker, requesting and distributing insurance certificates, updating insurance information…)

In Belgium delaware has offices in Ghent, Antwerp, Wavre, Courtrai, Liège and Lummen. As a Junior Legal Counsel, you will regularly be working at the Kortrijk offices, where the Group Support Services in Belgium are based. You may also be required to travel to our Ghent or Antwerp offices.
